Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the HW App platform (“the Service”), operated by HW App (“HW App,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you must not access or use the Service.

By creating an account you represent that you are at least 18 years of age, have the legal authority to enter into these Terms, and will comply with all applicable laws and regulations when using the Service.

2. Definitions

“Service”

The HW App web application, APIs, email alerts, and all related services.

“Content”

All data, text, analyses, reports, summaries, charts, and materials available through the Service.

“User Data”

Information you provide to us, including account credentials, watchlists, alert preferences, and feedback.

“AI-Generated Content”

Any summaries, analyses, or text produced by artificial intelligence models integrated into the Service.

“Third-Party Data”

Data sourced from government databases and other publicly available sources, including but not limited to the FDA, USPTO, CMS, VA, and ClinicalTrials.gov.

3. Description of Service

HW App is a monitoring, alerting, and intelligence platform that aggregates publicly available data from more than a dozen U.S. government and public sources, including the FDA Orange Book, Drugs@FDA, openFDA API, Purple Book, the U.S. Patent and Trademark Office (Patent Trial and Appeal Board records, patent reexaminations), the Centers for Medicare & Medicaid Services, the Department of Veterans Affairs, PACER, ClinicalTrials.gov, Regulations.gov, and others.

The Service provides search, tracking, change detection, calculated loss-of-exclusivity (LOE) estimates, AI-generated summaries, and notification features for pharmaceutical regulatory data.

4. Account Registration & Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when creating an account and to notify us immediately of any unauthorized use.

During the private beta period, account access is subject to manual approval. We reserve the right to approve, deny, suspend, or revoke access at our sole discretion. Approved accounts are for individual use only and may not be shared with, transferred to, or used by unauthorized parties.

5. Access & Availability

Access to the Service is currently available by registration during an early evaluation period. We reserve the right to modify, limit, or discontinue access to the Service or any of its features at any time, with or without notice.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws or regulations.
• Scrape, crawl, or systematically download data from the Service by any automated means.
• Use automated tools, bots, or scripts to access the Service without our prior written consent.
• Use the Service or its Content to train, fine-tune, or develop machine-learning or artificial-intelligence models without our express written permission.
• Interfere with or disrupt the Service, its servers, or connected networks.
• Attempt to gain unauthorized access to any portion of the Service or other accounts.
• Impersonate another person or entity or misrepresent your affiliation.
• Share account credentials with unauthorized parties or resell access to the Service.
• Reproduce, redistribute, or commercially exploit Content without our prior written consent.

We reserve the right to investigate violations and may suspend or terminate your access without notice if we reasonably believe you have violated these Terms.

8. Data Sources & Accuracy

All drug, patent, exclusivity, litigation, pricing, and regulatory data displayed on this platform is sourced from publicly available U.S. government databases and other public records. While we strive for accuracy, data may be delayed, incomplete, or contain errors originating from the source databases.

We do not guarantee the accuracy, completeness, timeliness, or reliability of any data or Content. Calculated loss-of-exclusivity dates, patent expiration timelines, and other derived analyses are estimates based on available data and should not be treated as definitive.

9. No Reliance

The Service is provided for informational and research purposes only. Patent expiration dates, exclusivity periods, regulatory status, litigation outcomes, drug pricing, and all other data should be independently verified before making any business, legal, clinical, or investment decisions.

10. AI-Generated Content

Certain summaries, analyses, and descriptions within the Service are generated using artificial intelligence models. AI-Generated Content is provided for convenience only and may contain inaccuracies, omissions, or errors. AI-Generated Content should not be relied upon as authoritative descriptions of regulatory changes, legal proceedings, or clinical data.

You are solely responsible for verifying the accuracy of any AI-Generated Content before acting on it. Where available, links to original source documents are provided alongside AI-Generated Content to facilitate verification.

11. Email Alerts & Notifications

By enabling email alerts or webhook integrations, you consent to receive automated notifications about changes to watched drugs, patents, companies, and applications. You may disable alerts at any time through your account settings.

Alert delivery is on a best-effort basis and may be delayed, incomplete, or interrupted. We are not liable for any failure to deliver alerts or for actions taken (or not taken) based on alert content.

12. Feedback & Suggestions

If you provide feedback, suggestions, ideas, or bug reports (“Feedback”) through the Service or any other channel, you grant HW App a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, modify, and incorporate that Feedback into the Service without any obligation or compensation to you. Feedback does not include your personal data, which is governed by our Privacy Policy.

13. Intellectual Property

The Service's design, code, user interface, original analyses, compiled datasets, and AI-generated summaries are the intellectual property of HW App and are protected by copyright and other intellectual property laws.

Underlying data from the FDA, USPTO, CMS, VA, and other government agencies is in the public domain. Our intellectual property rights apply to the aggregation, presentation, analysis, and value-added features we build on top of that data.

You may not reproduce, distribute, modify, or create derivative works of the Service or its proprietary Content without our prior written consent.

14. Restrictions on Data Use

You may not use Content obtained from the Service to train, fine-tune, evaluate, or otherwise develop machine-learning models, neural networks, or artificial-intelligence systems without our express prior written consent. This restriction applies to both the proprietary analyses we produce and the curated datasets we assemble, but does not restrict your use of the underlying public-domain government data obtained directly from its original source.

You acknowledge that the data provided through the Service is sourced from third-party government databases and may contain errors. HW App shall not be liable for any damages arising from errors, omissions, or inaccuracies in such data.

17. Indemnification

You agree to indemnify, defend, and hold harmless HW App, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any decision or action taken based on Content or data obtained from the Service.

18. Service Availability & Force Majeure

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may impose limits on certain features or restrict access to parts of the Service without notice or liability.

Neither party shall be liable for any delay or failure to perform obligations under these Terms to the extent caused by events beyond its reasonable control, including but not limited to natural disasters, government actions, changes to government database availability or format, internet or infrastructure outages, pandemics, or acts of war or terrorism (“Force Majeure Events”). Because the Service depends on data published by government agencies, changes to data availability, API access, or publication schedules by those agencies constitute Force Majeure Events.

19. Modifications to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or through a prominent notice on the Service at least 15 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.

20. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

21. General Provisions

• Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and HW App with respect to the Service and supersede all prior or contemporaneous agreements.
• No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
